When starting a commercial activity, it is essential to intelligently plan the legal form to be used, since this is how the capital and responsibilities are distributed among the partners.

Law 16.060 of September 5, 1989 is the one that regulates and lists the types of companies allowed in Uruguay to carry on business.

 

The choice will depend on the particular situation of each undertaking as well as the objectives set by the partners.

 

Based on this law it is possible to form the following types of companies:

  • Corporations (SA)

  • Limited Liability Companies (SRL)

  • Offshore Companies

  • Simple Limited Partnership

  • Limited Partnership by Shares

  • Capital and Industry Companies

  • Societies of Fact

  • Sole proprietorships
